Terms of Service — Pinpoint SEO

These Terms of Service ("Terms") govern your access to pinpointseo.co, the Pinpoint application at app.pinpointseo.co, and related services (collectively, the "Service") provided by Pinpoint SEO ("Pinpoint," "we," "us," or "our"). By creating an account, purchasing a subscription, or using the Service, you agree to these Terms and our Privacy Policy.

1. The Service

Pinpoint is software for managing Google Business Profiles and related local-marketing activity. Depending on the features you configure, the Service may create and publish posts, draft or publish review replies, suggest listing updates, upload media, track rankings and performance, generate reports and alerts, and publish to optional social or video accounts.

Features may change as we improve the Service or as third-party platforms change their APIs, policies, or availability.

2. Eligibility and Authority

You must be at least 18 and able to enter into a binding agreement. If you use the Service for an organization, you confirm that you have authority to bind it to these Terms.

You must have all rights, permissions, and authority needed to manage every Google Business Profile, business, and optional social account you connect. You are responsible for ensuring that your use of the Service complies with applicable law and each connected platform's terms and policies.

3. Accounts and Security

Pinpoint currently uses Google sign-in. You are responsible for protecting your Google account, devices, sessions, and other credentials and for activity performed through your account. Notify us promptly at admin@pinpointseo.co if you suspect unauthorized access.

Keep your account and business information accurate. You may not share access in a way that circumvents account permissions or subscription limits.

4. Your Content and Instructions

You retain your rights in business information, media, instructions, and other content you submit to the Service ("Customer Content"). You grant Pinpoint a limited, worldwide, non-exclusive licence to host, copy, process, modify, transmit, display, and publish Customer Content only as needed to provide, secure, maintain, and support the Service, perform actions directed by your settings, and comply with law.

You confirm that you have the rights needed for Customer Content and that its use through the Service will not violate law, privacy rights, intellectual-property rights, advertising rules, or third-party platform policies. Do not submit sensitive personal information unless it is necessary for a feature and you have a lawful basis to do so.

5. Approval and Autopilot

The Service may let you review content before publication or enable automated publishing. You are responsible for selecting appropriate settings, monitoring your connected profiles, and reviewing published activity. If you enable autopilot or another automatic action, you authorize Pinpoint to perform that action on your behalf according to your settings.

You may change available approval or automation settings, but a change may not stop an action that has already been submitted to a third-party platform.

6. Subscription, Trial, and Payment

• Pinpoint charges $79 CAD per month per connected location, plus applicable taxes.
• New accounts receive a $1 CAD trial for the first 7 days.
• Unless you cancel before renewal, the subscription automatically renews and Stripe bills the recurring monthly price in advance after the trial and at each billing period.
• You authorize Pinpoint and Stripe to charge the payment method associated with your billing account for the trial, recurring fees, taxes, and other disclosed charges.
• You may cancel by emailing admin@pinpointseo.co or through any cancellation controls available in your account. Cancellation takes effect at the end of the current billing period unless law requires otherwise.
• Payments are non-refundable, including for partial months or unused time after cancellation, except where required by law or expressly stated by Pinpoint.
• If a payment fails or a subscription becomes past due, we may pause or restrict paid features.
• We may change future pricing by giving at least 30 days' notice. The new price applies on a later renewal date identified in the notice.

7. AI-Generated Content

The Service uses artificial intelligence to generate or assist with posts, review replies, media, reports, and other content. AI output may be inaccurate, incomplete, inappropriate, or similar to content generated for others. It is not professional, legal, or business advice.

You are responsible for reviewing output to the extent appropriate for your business, especially where approval mode is enabled. Enabling automated publication does not transfer responsibility for your business's public content to Pinpoint.

Pinpoint does not guarantee rankings, traffic, leads, reviews, revenue, or other business results. As between you and Pinpoint, and to the extent permitted by law and third-party terms, you own the output generated specifically for your business. Pinpoint does not train AI models on Customer Content or Google API data and will not opt that data into provider model-training programs.

8. Acceptable Use

You may not use the Service to:

• violate law, these Terms, or a connected platform's rules;
• publish unlawful, deceptive, defamatory, infringing, discriminatory, or abusive content;
• impersonate another person or business or manage a profile without authorization;
• manipulate reviews, rankings, or platform systems through prohibited practices;
• interfere with, reverse engineer, probe, or circumvent the Service or its security controls;
• introduce malware or use the Service for spam or unauthorized surveillance; or
• resell, sublicense, or provide the Service to third parties except as expressly authorized.

9. Third-Party Services

The Service depends on third-party products and APIs, including Google, Stripe, AI providers, email, hosting, analytics, search, media, and optional social platforms. Your use of a third-party service may also be governed by its own terms and privacy policy.

We are not responsible for third-party outages, access restrictions, policy changes, account suspensions, removed content, API changes, or discontinued features. We may modify or discontinue an affected feature if a provider changes or withdraws access.

10. Pinpoint Intellectual Property

Pinpoint and its licensors own the Service, software, interfaces, branding, documentation, and other materials we provide, excluding Customer Content. These Terms give you a limited, non-exclusive, non-transferable, revocable right to use the Service during an active trial or subscription in accordance with these Terms.

If you provide feedback, you permit us to use it without restriction or compensation, provided we do not identify you publicly without permission.

11. Availability and Changes

We aim to provide a reliable Service but do not guarantee uninterrupted, error-free, or permanent availability. Maintenance, security incidents, internet conditions, and third-party dependencies may cause interruptions. We may change, suspend, or discontinue features, and we will provide notice where required or reasonably practical.

12. Suspension and Termination

We may suspend or terminate access if you materially breach these Terms, fail to pay amounts due, create security or legal risk, misuse a third-party platform, or use the Service in a way that may harm Pinpoint or others. Where appropriate, we will provide notice and an opportunity to correct the issue.

You may stop using the Service or cancel your subscription at any time. Cancellation does not erase charges already incurred. After termination, data is handled under our Privacy Policy, and provisions that by their nature should survive—including payment obligations, ownership, disclaimers, liability limits, and governing law—will continue to apply.

13. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE OR AI-GENERATED CONTENT WILL BE ACCURATE, UNINTERRUPTED, SECURE, ERROR-FREE, OR SUITABLE FOR EVERY BUSINESS OR PLATFORM. NOTHING IN THESE TERMS EXCLUDES A WARRANTY OR RIGHT THAT CANNOT LAWFULLY BE EXCLUDED.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PINPOINT WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITIES, OR ANTICIPATED SAVINGS, ARISING FROM OR RELATED TO THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PINPOINT'S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE FEES YOU PAID TO PINPOINT DURING THE ONE MONTH BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITATIONS DO NOT APPLY WHERE APPLICABLE LAW PROHIBITS THEM.

15. Governing Law and Disputes

These Terms are governed by the laws of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Subject to any rights or venue rules that cannot lawfully be waived, disputes will be submitted to the courts located in Ontario, Canada.

Before filing a claim, please contact admin@pinpointseo.co and give us a reasonable opportunity to resolve the issue informally.

16. Changes to These Terms

We may update these Terms to reflect changes to the Service, providers, or law. We will post the updated Terms and effective date and provide additional notice before material changes take effect where required. Continued use after the effective date constitutes acceptance to the extent permitted by law.

17. General

If a provision is unenforceable, the remaining provisions continue in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign them as part of a financing, reorganization, merger, acquisition, or sale of assets, subject to applicable law.

These Terms and the Privacy Policy form the entire agreement between you and Pinpoint regarding the Service, except for any separate written agreement signed by both parties.
